Call for Board of Directors

Prophet River First Nation (PRFN) is seeking qualified and motivated individuals to sit on the Board of Directors of the PRFN economic development organizations.

About Prophet River First Nation

PRFN is a proud Dane-zaa community that adhered to Treaty No. 8 in 1911. PRFN’s administration is located on its reserve land at Mile 232 of the Alaska Highway, between Fort Nelson and Fort St. John, BC (approximately one hour’s drive south of Fort Nelson). PRFN is governed by its elected Chief and Council consisting of three members who serve three-year terms. PRFN currently has approximately 300 members.

PRFN Economic Development Structure

PRFN’s Chief and Council (“Council”) has created a business structure to build wealth for PRFN and its members. The overarching economic development entity is in the form of a limited partnership structure between Prophet River First Nation as the limited partner and Dunne-E’Nee-Desta GP Ltd. (DEDGP) as the general partner. DEDGP is a company incorporated in British Columbia according to the provisions of the Business Corporations Act. It manages the limited partnership and is subject to the liabilities of the partnership.

This call for Board of Directors is specifically for DEDGP.
In order to separate business from politics and to provide strong governance for PRFN’s business operations for the long term, PRFN Council, acting as the Shareholder, is putting an independent Board of Directors in place to manage DEDGP.

Who Can Be A Director?

To be a director, an individual must be at least 19 years of age, be capable of managing his or her own affairs, not be an un-discharged bankrupt, and not have been convicted of an offence in connection with the promotion, formation or management of a corporation or involving fraud.

Responsibilities & Qualifications

Council is seeking Directors with suitable business management or other qualifications and who have experience in most of the following areas:
• Proven experience in an executive leadership role;
• Previous board experience;
• Sufficient time available to fulfill board duties;
• Ability to comprehend financial reports, strategic plans, concept studies, business plans, risk management strategies;
• Financial management and strategic planning experience would be an asset;
• Knowledge in one or more of the following:
o Oilfield services and construction services for the oil and gas industry;
o Clean energy, tourism, resource extraction, forestry and/or real estate development;
o Finance, banking, accounting, mergers and acquisitions, private equity investment, marketing, human resources, etc.;
• Indigenous business directorship, management or business development experience;
• Knowledge of PRFN history and culture;
• Strong communication and interpersonal skills.

Board Member Responsibilities:
• Knowing the organization’s mission, programs, policies, and needs
• Preparing for meetings by reviewing the agenda and supporting documentation
• Regularly attending board meetings and participating actively and conscientiously
• Keeping up with issues and trends that affect the organization
• Approving audit reports, budgets, and business decisions
• Contributing to the development of policies and strategic plans
• Understanding the organization’s financial affairs and ensuring fiduciary responsibilities are met
• Ensuring the organization complies with legal requirements
• Maintaining confidentiality on all internal organizational affairs
To be successful as a board member the candidate should have an aptitude for business, have significant professional leadership experience as well and strong diplomatic skills.
This candidate must be passionately committed to the organization’s mission.
Directors must be eligible by British Columbia law to act as a director, clear of conflicts due to potentially competing businesses and must be willing to provide a criminal record check prior to appointment.
The directors must be ethical, act honestly and in good faith for the corporation, and are required to act in the best interest of the DEDGP and PRFN. This candidate will have fiduciary responsibilities to both the shareholders and the limited partners.
Short-listed candidates may be interviewed by the Council, acting as the Shareholder, before final appointments are made.

Salary/Wage

400 per month
